1. Introduction & Acceptance
These Terms & Conditions ("Terms") govern access to and use of the Numoie platform, including the website at numoie.com and the Numoie Progressive Web App (together, the "Platform"), operated by KAZZYLEN ("Numoie", "the Company", "we", "us"). By creating an account or using the Platform, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter binding contracts to use the Platform. By registering, you represent that all information you provide is accurate, current, and complete, and that you will maintain the accuracy of such information.
3. Services Provided
- Virtual Phone Numbers: real numbers from 50+ countries for SMS and OTP verification, pay as you use.
- Permanent Email: subscription mailboxes, monthly or annual billing.
- Disposable Temporary Email: free, auto refreshing, time limited inboxes.
- Global Utility Bill Payments: airtime, data, electricity, water, waste, and cable TV payments across 100+ countries.
Numoie acts as an intermediary connecting Users to third-party API providers and payment processors. Numoie does not guarantee the uninterrupted availability of any third-party service and is not responsible for outages, errors, or failures originating with third-party providers, save as set out in Section 14 (Payments & Refunds).
4. Account Registration & Security
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- Numoie employs two-factor authentication (2FA), active session tracking, and remote session revocation as security measures. You are encouraged to enable 2FA.
- You must notify Numoie immediately of any unauthorised use of your account.
- Numoie reserves the right to suspend or terminate accounts showing signs of fraudulent activity, abuse, or violation of these Terms, subject to Section 12 (Suspension & Termination).
5. Wallet & Payments
- Users fund an in-app wallet in USD, with a live NGN equivalent displayed for reference. All wallet transactions are processed through the Company's integrated payment gateways.
- Wallet balances are non-interest-bearing and may only be used to pay for Numoie services. The Company reserves the right to hold, delay, or decline transactions flagged by fraud-prevention or AML/KYC screening, pending verification.
6. Virtual Number Service Terms
- Virtual numbers are provided on a rental basis for the stated duration and are not exclusive or permanent to the User beyond that period, unless otherwise stated at point of purchase.
- Numoie does not guarantee that any specific service will accept SMS verification via a Numoie virtual number, as this depends on third-party policies outside Numoie's control.
- Misuse of virtual numbers for unlawful purposes, including fraud, harassment, or circumvention of a third party's terms of service, is strictly prohibited and will result in account termination.
7. Email Service Terms
- Permanent email mailboxes are provided on a subscription basis (monthly or annual) and will be suspended upon non-renewal, subject to a grace period of 7 days before deletion.
- Disposable temporary email addresses are provided free of charge, expire automatically after the stated session period, and carry no guarantee of message retention or delivery.
- Numoie is not responsible for the content of emails sent or received through the Platform and reserves the right to filter content for spam, malware, or unlawful material.
8. Utility Bill Payment Terms
- Bill payments are processed via third-party utility payment providers. Numoie is not the biller and is not responsible for delays or failures caused by the underlying utility provider or network.
- Users are solely responsible for verifying the accuracy of account numbers, meter numbers, and phone numbers before submitting payment. Numoie is not liable for payments made to incorrect recipient details entered by the User.
- Refunds for failed transactions are governed by Section 14 below.
9. Prohibited Uses
- Using the Platform for any unlawful purpose, including money laundering, terrorism financing, fraud, or evasion of sanctions.
- Creating multiple accounts to circumvent limits, promotions, or KYC requirements.
- Using virtual numbers or email addresses to impersonate another person or entity, or to harass, defraud, or deceive third parties.
- Attempting to reverse-engineer, disrupt, or gain unauthorised access to the Platform or its underlying systems.
- Using the referral programme to generate fraudulent or self-referred signups.
10. Referral Programme
Users may earn up to USD $1 per successful, genuine referral as defined in the in-app referral terms. Numoie reserves the right to withhold or reverse referral rewards obtained through fraudulent, self-referred, or abusive activity, and to modify or discontinue the referral programme at any time on reasonable notice.
11. Intellectual Property
All content, trademarks, logos, and software comprising the Platform are the property of NUMOIE or its licensors. Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. No other rights are granted.
12. Suspension & Termination
- Numoie may suspend or terminate a User's account for breach of these Terms, suspected fraud, AML/KYC non-compliance, or at the request of a competent regulatory or law enforcement authority.
- Users may close their account at any time by submitting a written request, subject to the settlement of any outstanding balances, fees, or other obligations. Account closure does not entitle the user to a refund or cash redemption of any remaining wallet balance. Any funds remaining in the wallet may only be used in accordance with these Terms and the Platform's Wallet and Withdrawal Policy.
- Wallet balances remaining upon lawful account closure will be handled in accordance with the Company's wallet-balance policy.
13. Service Availability
Numoie targets 99.9% platform uptime but does not guarantee uninterrupted or error-free service. Scheduled maintenance will be notified in advance where reasonably practicable. Numoie is not liable for losses arising from downtime caused by factors outside its reasonable control, including third-party API or payment gateway outages.
14. Payments, Fees, Wallet & Refunds
- All fees are displayed prior to purchase and are payable in USD unless otherwise stated.
- Wallet credit is automatically issued for failed SMS delivery on virtual number purchases.
- Disputed transactions are reviewed and resolved within 3 business days of being raised.
- Numoie operates on a prepaid wallet system. Wallet top-ups are final and non-refundable. Once funds are added to your Numoie wallet, they cannot be refunded, reversed, or withdrawn back to your card, bank account, or any other payment channel used to top up, under any circumstances. Wallet balances may only be used to purchase services on the platform.
- At our sole discretion, if you were charged without receiving the corresponding service, the affected amount may be credited back to your Numoie wallet only and not to your original payment method. This applies in limited circumstances such as: (a) A verified technical error on our end prevented service delivery entirely. (b) No SMS was received within the validity period and the failure was not caused by a third-party platform's blocking policy.
- Wallet credits do not expire. All pricing is displayed in USD; NGN equivalents are updated with live exchange rates for reference only. Numoie reserves the right to adjust pricing at any time with reasonable advance notice.
15. Limitation of Liability
To the maximum extent permitted by Nigerian law, Numoie's aggregate liability to any User for claims arising from use of the Platform is limited to the total fees paid by that User in the 3 months preceding the claim. Numoie is not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity.
16. Data Protection & AML/KYC
Numoie processes personal data in accordance with its separate Privacy Policy, which forms part of these Terms by reference. Where required by applicable Nigerian law (including the Money Laundering (Prevention and Prohibition) Act 2022 and Central Bank of Nigeria regulations), Numoie applies identity verification and transaction monitoring measures as set out in its AML/KYC Procedure. Users agree to provide accurate identity information and to cooperate with verification requests where applicable.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be addressed through the Company's customer support channels; unresolved disputes shall be referred to good-faith negotiation, then, if necessary, to arbitration under the Arbitration and Conciliation Act (as amended), seated in Lagos, Nigeria.
18. Changes to These Terms
Numoie may update these Terms from time to time. Material changes will be notified to Users at least 7 days in advance via email or in-app notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
